Member Access & Use Agreement
Clover’s, LLC DBA Clover’s Community Farmstands
Revised and Effective July 2026
1. Purpose
Clover’s operates an unmanned, self-serve, access-controlled community farmstand where approved members may access the stand and purchase products directly from independent local vendors.
This Agreement governs Member’s access to and use of the Clover’s stand during the pilot program and any continued membership period.
2. Membership
During the pilot, membership may be provided at a discount of up to 100%. Future membership fees, billing schedules, renewal terms, and cancellation policies may be determined by Clover’s after the pilot.
Membership is personal to the Member and may not be sold, transferred, assigned, shared, or used by another person.
Clover’s may approve, deny, suspend, or revoke membership or stand access at any time for safety, security, nonpayment, dishonesty, misuse, capacity, operational concerns, violation of this Agreement, or other reasons determined by Clover’s.
3. Access Credentials
Member may access the stand using Clover’s approved access method, such as a QR code, keycard, access link, or other credential.
Access credentials are personal and may not be shared. Member may not give, lend, forward, screenshot, duplicate, post, transfer, or otherwise share Member’s QR code, keycard, access credential, or login information with any other person.
If Member’s access credential is used by another person, Clover’s may treat that entry as authorized by Member. Member may be held responsible for unpaid products, damage, theft, safety issues, misuse, or other losses resulting from use of Member’s access credential.
4. Stand Hours and Unmanned Operation
The stand may be available 24 hours per day, 7 days per week, unless temporarily closed due to maintenance, restocking, safety, weather, access-control issues, equipment issues, site requirements, or other operational reasons.
Member understands that the stand is unmanned and self-serve. Clover’s staff may not be present to assist with purchases, product selection, payment, access issues, spills, injuries, or emergencies.
5. Vendor Products and Direct Payment
Products in the stand are sold by independent vendors, not by Clover’s (apart from brand specific Clover’s merchandise).
Each vendor owns, prices, stocks, labels, and sells that vendor’s own products. Member purchases products directly from the vendor identified on the product label, shelf label, payment sign, or other vendor-provided information.
Member is responsible for paying the applicable vendor directly using the vendor’s listed payment method, such as Venmo, QR-code payment, or another method identified by the vendor.
Clover’s does not guarantee product availability, product quality, product freshness, vendor payment methods, vendor pricing, organic status, growing practices, ingredients, allergen status, or any other product claim.
6. Payment Responsibility
Member must pay for every product Member takes from the stand.
If Member forgets to pay, enters an incorrect amount, pays the wrong vendor, or otherwise fails to complete payment, Member must promptly correct the issue.
Vendors may report unpaid or incorrectly paid items to Clover’s. Clover’s may investigate using access logs, video footage, vendor reports, communication with Member, and other available information.
Clover’s may issue a warning, require correction, suspend access, or terminate membership depending on the circumstances. Repeated nonpayment or suspected dishonesty may result in immediate termination of membership.
7. Taxes and Fees
Vendors are responsible for determining their own pricing, taxes, fees, reporting obligations, and legal compliance. Clover’s does not make tax determinations on behalf of vendors or members.
8. Member Conduct Rules
Member agrees to pay for all items taken; use only Member’s own access credential; not share access credentials; not tamper with cameras, locks, doors, refrigeration, shelving, signage, electrical systems, payment signs, or other equipment; not remove unpaid products; not damage, misuse, or interfere with the stand or vendor products; keep the door closed; not prop the door open unnecessarily; report spills, spoilage, damaged products, safety concerns, access problems, or equipment issues to Clover’s; respect other members, vendors, host-site staff, and property; follow posted signs and instructions; and follow all applicable laws and site rules.
Member may bring bags, baskets, or boxes for shopping. Member may inspect products in a reasonable manner but must handle products respectfully and hygienically.
Member is responsible for any person who enters the stand using Member’s access credential or with Member’s permission.
9. Prohibited Conduct
Member may not share, sell, transfer, duplicate, or misuse access credentials; allow unauthorized persons to enter; steal products or intentionally fail to pay; tamper with or disable cameras, access-control systems, locks, doors, refrigeration, shelving, or equipment; damage the stand or host property; harass, threaten, or interfere with vendors, members, Clover’s representatives, or host-site personnel; leave trash, spills, spoiled products, or unsafe conditions; bring pets inside the stand except service animals as required by law; or use the stand for unlawful, unsafe, or disruptive purposes.
10. Cameras, Access Logs, and Monitoring
Member understands and agrees that the stand and surrounding area may use video cameras, access-control systems, entry logs, timestamps, access credentials, and related monitoring tools for security, safety, operations, loss prevention, payment verification, dispute resolution, and compliance.
Clover’s may review access logs, video footage, vendor reports, and related records to investigate unpaid items, theft, safety concerns, equipment issues, damage, access misuse, or violations of this Agreement.
Clover’s may retain access logs, video footage, and related records for operational, safety, security, compliance, and dispute-resolution purposes, in accordance with Clover’s internal practices and applicable law.
Member agrees to receive operational communications related to membership, access, stand rules, closures, safety issues, product issues, payment concerns, or account status.
11. Privacy
Clover’s may collect and use Member information, including name, contact information, membership status, access activity, communications, and video/access records, for purposes of operating and securing the stand.
Clover’s may share video/access records, access activity, and other necessary information with farmers/vendors and hosts/property owners for purposes of safety, product monitoring, operating and securing the stand.
Clover’s may use third-party services for access control, cameras, website functions, communications, payments, or related operations.
12. Product Issues, Refunds, and Food Safety Concerns
Because products are sold by independent vendors, Member should contact the vendor directly regarding product concerns, refunds, replacements, quality issues, or payment mistakes.
Member should also notify Clover’s of any suspected food safety issue, spoiled product, refrigeration concern, mislabeled product, or unsafe condition.
Clover’s may remove products, contact vendors, suspend vendor participation, close the stand, or take other action when Clover’s determines it is appropriate for safety, quality, or operational reasons.
13. Allergies and Product Expectations
Member understands that products are supplied by independent vendors and may contain or come into contact with allergens.
Clover’s does not guarantee that products are allergen-free, organic, pesticide-free, washed, sanitized, inspected, or suitable for Member’s particular needs.
Member is responsible for reviewing labels, contacting vendors with product questions, and making purchasing decisions based on Member’s own needs and risk tolerance.
14. Assumption of Risk and Release
Member understands that the stand is an unmanned, self-serve, access-controlled environment and that use of the stand involves ordinary risks.
These risks may include, but are not limited to, slippery floors, wet surfaces, snow, ice, uneven pavement, poor weather, lighting conditions, heavy doors, shelving, refrigeration equipment, electrical equipment, other members, product handling, food allergens, variable product quality, and other ordinary risks associated with entering and using a self-serve farmstand.
To the fullest extent permitted by law, Member accepts these ordinary risks and agrees not to hold Clover’s, its owners, representatives, vendors, site hosts, contractors, or affiliates responsible for injuries, losses, or damages arising from ordinary use of the stand, except to the extent caused by Clover’s gross negligence, willful misconduct, or other conduct that cannot legally be released.
15. Member Responsibility and Indemnification
Member is responsible for Member’s own conduct and for any person who enters the stand using Member’s access credential or with Member’s permission.
Member agrees to defend, indemnify, and hold harmless Clover’s, its owners, representatives, vendors, site hosts, contractors, and affiliates from and against claims, losses, damages, liabilities, costs, and reasonable attorney fees arising out of or related to Member’s misuse of the stand, dishonest conduct, nonpayment, theft, damage, unsafe behavior, violation of this Agreement, sharing of access credentials, or actions of any person entering through Member’s access credential or with Member’s permission.
16. Damage and Reimbursement
Member agrees to reimburse Clover’s for losses, costs, or damages caused by Member’s intentional, reckless, negligent, dishonest, or improper conduct.
This may include damage to doors, locks, cameras, refrigeration units, shelving, electrical systems, signage, products, access-control systems, or host-site property.
17. Suspension or Termination
Clover’s may suspend or terminate Member’s access immediately for violation of this Agreement, suspected theft, repeated nonpayment, safety concerns, access sharing, equipment tampering, damage, dishonesty, disruptive behavior, capacity limits, operational concerns, or any other reason Clover’s determines affects the stand, vendors, members, host site, or pilot program.
With paid memberships, membership fees will be non-refundable unless Clover’s states otherwise in writing or per the discretion of Clover’s. Failed payment may result in immediate suspension or termination of membership.
18. Communications and Notices
Clover’s may communicate with Member by email, phone, text, website notice, posted sign, newsletter, or other available method.
Member agrees to receive operational emails and notices related to membership, access, safety, rules, payment issues, closures, and stand operations.
Official notices to Member may be sent to the email address provided by Member.
19. Changes to Terms
Clover’s may update this Agreement, stand rules, access procedures, membership terms, product rules, or operational policies when necessary. Continued use of the stand after notice of updated terms means Member accepts the updated terms.
20. Entire Agreement
This Agreement represents the understanding between Clover’s and Member regarding Member’s access to and use of the stand.
